On August 9, 2021, the Communiqué No. 2021/6 amending the Communiqué No. 2020/4 regarding the Restriction on Lender Fees was published in the Official Gazette (the “Amending Communiqué”) (please see our client alert on the original version of the Communiqué at: https://www.cergun.av.tr/publication/communique-on-the-restriction-to-lender-fees/).
The Amending Communiqué provides that the commercial loans disbursed within the scope of the special loan agreements or the additional agreements or protocols of the general loan agreements for (i) project finance, (ii) acquisition and merger finance, (iii) privatization finance, (iv) structured finance and (v) refinancing of the said types of financing shall not be considered within the category of commercial loans for the purposes of the Communiqué No. 2020/4. Therefore, the lender fees in such transactions shall no longer be subject to the restrictions in relation to the loan allocation, disbursement, collateralization and closing under the Communiqué No. 2020/4.
